1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Galoyan Art Agency (“Agency”, “we”, “us”, or “our”), concerning your participation in the Galoyan Art Audition (the “Audition”) and use of the https://www.audition.galoyan.art website (the “Website”). By applying for the Audition, you represent that you have read, understood, and agree to be bound by these Terms, which incorporate our Privacy Policy and any other legal notices published by us on the Website.
2. Compliance with Austrian Law
These Terms are governed by and construed in accordance with the laws of the Republic of Austria without giving effect to any choice or conflict of law provision or rule.
3. Eligibility and Application
- Participation in the Audition is subject to meeting specified criteria and is open to individuals of all nationalities. Participants under the age of 18 require consent from a parent or legal guardian.
- The submission of an application requires accurate and complete information. Incomplete or inaccurate applications may be grounds for disqualification.
4. Participation Fee
- A non-refundable participation fee is required for application processing. This fee does not imply any obligation on the part of the Agency to select the participant for further opportunities.
5. Intellectual Property Rights
- Participants retain copyright to their performance pieces. However, by participating, you grant the Agency a perpetual, non-exclusive, worldwide, royalty-free license to broadcast, publish, store, reproduce, distribute, syndicate, and publicly display your performance in any medium.
6. Participant Conduct
Participants must adhere to professional standards of conduct. The Agency reserves the right to disqualify any participant for behavior deemed unprofessional or inappropriate.
7. Disclaimer of Warranties
The Agency disclaims all warranties, express or implied, regarding the Audition, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will the Agency or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your participation in the Audition.
9. Indemnification
You agree to indemnify and hold harmless Galoyan Art Agency and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your participation in the audition.
10. Amendment and Modification
The Agency reserves the right to amend these Terms at any time. By continuing to participate in the Audition after any modifications, you agree to be bound by the revised terms.
11. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
